Numanova, an Italeaf Group’s company specialised in the production of metal powders used as raw materials in additive manufacturing (or 3D printing), announces that it has announces that it has produced, for the National Laboratories of Gran Sasso (LNGS) of INFN, a supply of 10 kg of pure copper powder, one of the most difficult metals to process because of its chemical-physical properties characterized by a high thermal and electrical conductivity. The total quantity of material produced by Numanova is equal to 60 Kg.

The National Institute of Nuclear Physics (INFN) is the Italian public research body dedicated to the study of the fundamental constituents of the subject and the laws that govern them. INFN Gran Sasso National Laboratory (LNGS) is the largest underground laboratory in the world devoted to neutrino and astroparticle physics, a worldwide research facility for scientists working in this field of research, where particle physics, cosmology and astrophysics meet. It is unequalled anywhere else, as it offers the most advanced underground infrastructures in terms of dimensions, complexity and completeness. The powders produced by Numanova will be used for 3D printing (additive manufacturing) of components for the particle accelerator in the Gran Sasso laboratories.

In addition to pure copper powders, in recent days Numanova has also produced a significant quantity of Ti-Al powders (aluminide) for the sector of 3D printing of motor racing components (mainly engine). Also in this case, it is a highly innovative application in a competitive sector that represents a significant commercial output for the company.

 

Shareholders’ Meeting approves a capital increase and renews the board of directors

The Shareholders’ Meeting of Numanova, part of the Italeaf group, which met in extraordinary session under the chairmanship of Stefano Neri, unanimously approved a divisible capital increase to be offered as an option to shareholders, pursuant to Articles 2438, 2439 and 2441 of the Italian Civil Code, of Euro 0.3 million, through the issue for cash of 300,000 shares with no par value to be subscribed within five months.

At the end of the capital increase, which will be used to support the growth of production activities and the commercial goodwill of Numanova, the Company will have a maximum share capital of Euro 4.085 million.

Numanova currently has 23 shareholders; the company’s shareholding structure is as follows: Italeaf S.p.A. 85%, other shareholders 15%.

The Shareholders’ Meeting of Numanova, part of the Italeaf group, which met in ordinary session under the chairmanship of Stefano Neri, approved at the same time the Company’s 2018 financial statements, which closed with a substantial break-even. The Shareholders’ Meeting appointed the members of the Board of Directors, who will remain in office until the date of the Shareholders’ Meeting called to approve the financial statements as at 31 December 2021, the number of which has been determined as 5 members, as follows: Stefano Neri (Chairman), Marco Paura (Managing Director), Andrea Balestrino (Managing Director for marketing and marketing), Vittorio Pellegrini and Clelia Zunino (Independent Directors).

Marco Paura, materials engineer with more than ten years of experience in the metallurgical sector and with professional experience in CSM in Europe, East and South America, and in Franchini Acciai, takes the place of Dr. Corrado Giancaspro, who led the start-up phase of the company and to whom the Shareholders’ Meeting has addressed a heartfelt thanks for his commitment in favor of the Company and the contribution made during the period in which he held the position of CEO.

Numanova, an Italeaf Group company specialised in the production of metal powders used as raw materials in additive manufacturing (or 3D printing), announces that it has obtained from TUV Austria Group the certification of the production of ferrous and non-ferrous metal powders for special applications, according to the international standard UNI EN ISO 9001:2015, that defines the requirements of quality management systems and allows organizations, on a voluntary basis, to submit to verification, by an accredited certification body, its quality system and its production processes.

The project for the certification of commercial services began with the start of production and, through a process of analysis and verification, has led to the definition of internal procedures aimed at ensuring the proper execution of operational activities and compliance with legal and industry regulations, with the ultimate goal of ensuring customer satisfaction.

The application of the standard guarantees, in fact, that all production processes are carried out according to specific standards and that all phases of the activities are controlled and verifiable, with continuous monitoring and improvement of the service, to ensure greater reliability and efficiency both internally and towards customers.

This is the first compliance with a quality standard that will see us pursue in the future the achievement of a series of certifications to enter specific sectors such as aeronautics, medical, automotive. Numanova, an Italeaf Group company specialised in the production of metal powders used as raw materials in additive manufacturing (or 3D printing), announces the start of its industrial activity at its production plant in Nera Montoro (Narni, Italy). In fact, the first order for the production of grade 23 titanium powders for special applications in the aeronautical and space sectors and for 3D printing is currently being completed and will be delivered to a specialised trader for final marketing. This is an innovative production that uses Argon in fusion for gas-atomisation, as an inert process gas for the production and processing of the highest quality metal powders.

With the first fully operational castings made in the Nera Montoro plant, the EIGA (Electrode Induction-melting Inert Gas Atomization) plant comes into operation. This plant allows an advanced process for the production of metal powders from titanium alloys, aluminium, refractory materials, ceramics and precious alloys for special applications and Additive Manufacturing.

Numanova has the most advanced and robust gas-atomisation technology for the production of metallic powders available today on the international market, based (when fully operational) on 2 plants with installed productivity up to 800t/year.

The process consists of atomising a controlled flow of molten metal into very fine droplets by means of a high-pressure Argon jet. As they solidify, the droplets form a highly spherical micrometric powder. Starting from these powder alloys, after a careful and rigorous process of screening, certification and qualification of its product, Numanova is able to provide the market with a wide range of metal powders for the additive manufacture of parts with complex geometries equipped with new functions (for example, for the manufacture of prostheses in the biomedical sector, turbine components in the aeronautical and energy sectors, in the luxury industry).

Italeaf announces that, with reference to the transcation of capital increase to be offered to the shareholders according  to the articles 2438, 2439 e 2441 of the Civil Code, resolved by the General Shareholders’ Meeting of Numanova SpA 23 June 2017, the first tranche of n. 250,000 ordinary shares was issued at a price of 1 Euro, and was fully subscribed by Italeaf.

The new share capital of Numanova, following the subscription, amounts to Euro 3,250,000.

The Shareholders’ Meeting of Numanova, part of the Italeaf group, which met in extraordinary session under the chairmanship of Stefano Neri, has unanimously resolved a share capital increase, divisible to be offered to the shareholders, pursuant to the articles 2438, 2439 e 2441 of the Italian Civil Code, of Euro 2 million, through the issue of new n. 2.000.000 shares without nominal value to be subscribed by 20 December 2017.

Upon the completion of the capital increase, that will be used to substain the growth of the productive activities of the company, Numanova will have a share capital of up to Euro 5 million.

TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, and Numanova, a company active in the production of high quality metal powders from ferrous and not ferrous metal alloys for the additive manufacturing industry and the more advanced applications in areas such as aerospace, energy, mechanical, biomedical, subscribed today two EPC contracts for the plant engineering upgrading, the connection to the technical networks, the technology selection and the installation of two gas-atomization plants for the production of metal powders for the additive manufacture.

The amount the order, which will be completed by TerniEnergia in the second half of 2017, amounted to overall Euro 6.5 million.

The two plants, known as EIGA (Electrode-Induction Melting Inert Gas Atomization) and VIGA (Vacuum-Induction Melting Inert Gas Atomization), already authorized by the local authorities, will be installed in the industrial area owned by Numanova of Nera Montoro (TR), with design work, supply and “turnkey” installation, including electrical connections, electrical instrumentation, commissioning and implementation of safety systems. The technology provider will be the ALD Vacuum Technologies, a German company leading in vacuum systems for casting, coating and heat treatment of metals, part of AMG Advanced Metallurgical Group N. V. Netherlands.

The transaction by TerniEnergia is configured as a “related party transaction”, since the operation carried out with its parent Italeaf SpA which, it is recalled, it holds an interest representing 45.06% of the share capital of TerniEnergia and exerts control over it pursuant to Article 2359, first paragraph, no. 2 of the Civil Code and Article 93 of the TUF. Therefore, Numanova is a related party to the Company pursuant to article 3, first paragraph, point (a) and the definition of related parties contained in Annex 1, paragraph 1, letter (a) (i) of the Consob Regulation no. 17221/2010.

The transaction is of ordinary nature, because it falls within the core business of TerniEnergia, and is configured as a relevant ordinary transaction concluded under conditions equivalent to those of the market, and falling within the categories of exclusion under Art. 13, paragraph 3, letter. c) of Consob Regulation no. 17221 of March 12, 2010, and pursuant to art. 8, paragraph 2, letter. c) of the Procedure for Transactions with Related Parties adopted by TerniEnergia. Anyway, the transaction was therefore approved by the Board of Directors of TerniEnergia on July 29, 2016, after acquiring the approval of the Committee for Transactions with Related Parties.

From the acquisition of the two contracts, TerniEnergia will have an increase in the revenues of the business line called “Technical Services”, active in the construction of industrial plants with the EPC formula. This transaction is consistent with the TerniEnergia aim and in line with the “Technical Services” sector growth target.

Numanova, a company active in the production of high quality metal powders from ferrous and not ferrous metal alloys for the additive manufacturing industry and the more advanced applications in areas such as aerospace, energy, mechanical, biomedical, part of the Italeaf group, announces that, with the executive resolution by the Municipality of Narni (TR) n. 4/2016, was issued the “unique environmental license (AUA)” related to the emissions from the production plant of metal powders for the additive manufacturing and special and advanced applications, which will be installed at the industrial area of Nera Montoro (TR).

In particular, obtaining environmental authorization together with those of the Fire Prevention (CPI) by the Command of Terni Fire Department, Numanova is entitled to launch its investment program for the acquisition and installation of production facilities for metal powders with high quality obtained from ferrous metal and non ferrous alloys to be used in Additive Manufacturing (3D printing), Metal Injection Molding (MIM), Hot Isostatic Pressing (HIP), PTA, laser cladding for the most advanced industrial sectors such as aerospace, energy, automotive, mechanical, biomedical, luxury industry. The company will be equipped with the most advanced production technology of metal powders by atomization gas, vacuum induction casting ceramic-free. These technologies have a reduced environmental impact and high intrinsic safety levels.

For the development of the production plant it has been selected the eco-industrial area of Nera Montoro (TR), an ideal facility for industrial applications, with a broad portfolio of permits and authorizations, technical gas piping systems from a landline and already operational infrastructure as industrial and office building, energy, water, technical gases, logistics, warehouse.

In the Numanova factory will be installed 2 different type of plants:

  • EIGA (Electrode Induction-melting Inert Gas Atomization), advanced process for the production of metal powders from titanium and aluminum alloys, refractory materials, ceramics and precious metal alloys for special applications (eg. HIP, MIM) and Additive Manufacturing;
  • VIGA (Vacuum Induction-melting Inert Gas Atomization), advanced process for the production of ferrous metal powders and alloys of nickel, cobalt and zirconium for special applications (eg. HIP, MIM) and Additive Manufacturing.

Italeaf announces, finally, that the capital increase, divisible to be offered to the shareholders of Euro 0.65 million, through the issue of new n. 650,000 no par value shares, was fully subscribed to plan the growth of the productive activities of Numanova. Upon completion of the capital increase, Numanova has a share capital of Euro 3,000,000 fully subscribed. Numanova currently has 23 shareholders; the company’s shareholder structure is as follows: Italeaf S.p.A. 85%, other shareholders 15%.

The Shareholders’ Meeting of Numanova, a company active in the production of high quality metal powders from ferrous and not ferrous metal alloys for the additive manufacturing industry and the more advanced applications in areas such as aerospace, energy, mechanical, biomedical, part of the Italeaf group, which met in extraordinary session under the chairmanship of Stefano Neri, has unanimously resolved to transform the company from limited liability company to a joint stock company.

At the same time, the Shareholders’ meeting approved the proposal to proceed to the elimination of the nominal value of the ordinary shares of the Company and to adopt the one-tier system of “corporate governance”, with consequent amendment of the Bylaws. The board of directors is composed by Stefano Neri, Chairman, Corrado Giancaspro, CEO, Paolo Folgarait, executive director and general manager, and Clelia Zunino and Vittorio Pellegrini, independent directors. Andrea Bellucci is the statutory auditor of the company.

The Extraordinary Shareholders’ Meeting finally approved a capital increase, divisible to be offered to the shareholders of Euro 0.65 million, through the issue of new n. 650,000 no par value shares to be signed by 31 July 2016, to plan the growth of the productive activities of Numanova.

Upon completion of the capital increase, Numanova will have a share capital of Euro 3,000,000 fully paid. Numanova currently has 17 shareholders; the company’s shareholder structure is as follows: Italeaf S.p.A. 85%, Paolo Folgarait 8.5%, other shareholders 6.5%.
